1. Agreement to these Terms
These Terms of Service (“Terms“) govern access to and use of the Scheduler++ software and related services (the “Service“) provided by Techtropic Inc. (“Techtropic“, “we“, “us“), an Ontario corporation with offices at 1029 Roselawn Avenue, York, Ontario M6B 4N1, Canada.
By subscribing to, accessing, or using the Service, you (“Customer“, “you“) agree to these Terms. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.
2. Definitions
- Software: the Scheduler++ desktop, web, and mobile client applications and server components.
- Instance: a deployment of the Software provisioned for a single Customer, whether hosted by Techtropic (“cloud”) or installed on Customer-controlled infrastructure (“on-premises”).
- Authorized User: an individual you permit to access your Instance, up to the user count in your Order.
- Order: the quote, order form, or written agreement setting out your package, user count, fees, and term.
- Customer Data: data you or your Authorized Users enter into, upload to, or generate in the Service.
3. Accounts and access
You are responsible for the confidentiality of account credentials and for all activity under your Authorized Users’ accounts. Notify us promptly of any suspected unauthorized access.
Where the Service offers sign-in through a third-party identity provider, including Sign in with Google and Sign in with Microsoft, your use of that method is also subject to that provider’s terms. Our handling of data received through such sign-in is described in our Privacy Policy.
4. Licence and restrictions
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable right to use the Software for your internal business operations during the subscription term, limited to the Authorized User count in your Order.
You will not, and will not permit any third party to:
- copy, modify, or create derivative works of the Software except as expressly permitted;
- reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law;
- rent, lease, resell, sublicense, or provide the Software as a service bureau to third parties;
- remove or obscure proprietary notices;
- exceed your licensed Authorized User count, or share credentials among individuals;
- use the Service to store or transmit unlawful, infringing, or malicious material;
- access the Service to build a competing product.
5. Deployment: cloud and on-premises
The Service may be provisioned as a Techtropic-hosted Instance or installed on infrastructure you control.
Where the Instance is on-premises, you are solely responsible for the provisioning, security, physical protection, network configuration, power, patching, and backup of the systems on which the Software runs. We have no responsibility or liability for availability, data integrity, data loss, backup, or disaster recovery on Customer-controlled infrastructure. You are responsible for maintaining your own backups regardless of deployment model.
6. Fees, billing, and taxes
Fees, user counts, setup or implementation charges, and billing frequency are set out in your Order. Unless otherwise stated:
- Fees are quoted and payable in Canadian dollars (CAD).
- Subscription fees are billed in advance and are non-refundable.
- Setup and implementation fees are one-time and non-refundable once work has commenced.
- Additional Authorized Users beyond your licensed count incur additional fees at our then-current rates.
- Fees are exclusive of applicable taxes, which you are responsible for.
- We may change fees on 30 days’ written notice, effective at your next renewal.
Overdue amounts may accrue interest at 1.5% per month (19.56% per annum), and we may suspend the Service for non-payment after reasonable notice.
7. Customer Data and privacy
As between the parties, you own all Customer Data. You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service.
You are responsible for the accuracy and legality of Customer Data and for having all necessary rights and consents to provide it to us, including in respect of any personal information of your own customers or employees.
Our handling of personal information, including data obtained through third-party sign-in or integrations, is described in our Privacy Policy, which forms part of these Terms.
8. Third-party services and integrations
The Service may interoperate with third-party products and services, including Google and Microsoft (sign-in) and Intuit QuickBooks Online (accounting integration, where available).
You are responsible for maintaining your own accounts and licences with those providers and for complying with their terms. We are not responsible for third-party services, including their availability, accuracy, security, changes to their APIs, or any loss arising from them. Any integration may be modified, suspended, or discontinued if the third party changes or withdraws access.
You authorize us to access, transmit, and exchange data with those services as necessary to provide the integrations you have enabled.
9. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors bound by comparable obligations, or as required by law.
10. Intellectual property
The Software, its underlying technology, documentation, and all related intellectual property remain the exclusive property of Techtropic and its licensors. These Terms grant no rights except the licence in Section 4. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation to you.
11. Support and changes to the Service
Support is provided as described in your Order. We may modify, enhance, or discontinue features of the Service at any time. We will use reasonable efforts to give notice of material changes, but we do not guarantee that any particular feature will remain available.
12. Disclaimer of warranties
THE SERVICE, SOFTWARE, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND.
To the maximum extent permitted by applicable law, Techtropic expressly disclaims all warranties, conditions, representations, and terms of any kind, whether express, implied, statutory, collateral, or otherwise, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, non-infringement, and quiet enjoyment.
Without limiting the foregoing, we do not warrant that: the Service will be uninterrupted, timely, secure, or error-free; defects will be corrected; the Service will meet your requirements; or any data, calculation, quote, cost, schedule, or output generated by the Service will be accurate or complete. You are solely responsible for verifying any output of the Service before relying on it for pricing, production, or financial decisions.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, such warranties are limited to the minimum duration and scope permitted by law.
13. Limitation of liability
To the maximum extent permitted by applicable law:
(a) In no event will Techtropic, its directors, officers, employees, contractors, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, contracts, anticipated savings, goodwill, data, or production downtime, however caused and under any theory of liability, even if advised of the possibility of such damages.
(b) Techtropic’s total aggregate liability arising out of or relating to these Terms or the Service, from all causes of action and under all theories of liability, will not exceed the greater of (i) the total fees actually paid by you to Techtropic in the three (3) months immediately preceding the event giving rise to the claim, and (ii) one hundred Canadian dollars (CAD $100).
(c) The limitations in this Section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or otherwise, and survive any failure of essential purpose of any limited remedy.
(d) These limitations do not apply to your payment obligations, or to liability that cannot be excluded or limited under applicable law.
You acknowledge that the fees reflect this allocation of risk, and that we would not provide the Service on these terms without it.
14. Indemnification
You will defend, indemnify, and hold harmless Techtropic against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from Customer Data, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
15. Term, suspension, and termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach not cured within 30 days of written notice. We may suspend access immediately for non-payment or for use posing a security or legal risk.
On termination, your right to use the Service ends immediately. You may request an export of your Customer Data within 30 days of termination, after which we may delete it in accordance with our retention practices. No refunds are provided on termination except where required by law.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted at this URL with a revised “Last updated” date. Material changes take effect at your next renewal or on 30 days’ notice. Continued use after that constitutes acceptance.
17. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario.
18. General
These Terms, together with your Order and our Privacy Policy, constitute the entire agreement and supersede prior discussions. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder stays in effect. Neither party may assign these Terms without the other’s consent, except in connection with a merger or sale of substantially all assets. Neither party is liable for delays caused by events beyond its reasonable control. Sections 7, 9, 10, 12, 13, 14, 17, and 18 survive termination.
